The terms of service are concluded exclusively between the Somby Society, a limited liability company with a share capital of € 10000, registered in the Paris Trade and Companies Register under number 892095274, whose registered office is located at 65 Rue du Javelot, Tour Mexico, 75013, Paris, France, with an intra-community VAT number of FR59892095274, hereinafter referred to as "Joinimmo", and any person making a purchase from the website www. joinimmo.com, hereinafter referred to as "the client" or "you" and collectively referred to as "the Parties". The client declares that he/she is of legal age or has parental authorisation and that he/she has the legal capacity to enter into a contract enabling him/her to place an order on the present website. The Parties agree that their relations are governed exclusively by these general terms and conditions of sale until they sign a lease. These conditions may be subject to change. Therefore, it is understood that the applicable conditions are those in force on the site at the time the order is placed on the site.
Joinimmo provides an online platform that can be used to reserve accommodation with a view to subletting it and to subscribe to services ancillary to this subletting (hereinafter, collectively, the "Services''). These Services are accessible on www.joinimmo.com and all other Internet sites through which Joinimmo makes the Services available (hereafter, collectively, the "Site"). The terms "Joinimmo", "we", "us", or "our" hereafter refer to SASU Someby. "Accommodation", "Housing" and "Apartment" refer to all residential and other properties. "Reservation" means a right granted by Joinimmo to the Client to enter into a residential lease and to enter and occupy the Accommodation, for the period indicated on its lease and until its termination by either Party. "Service Charge'' means the amount to be paid by the Customer to finalize the Booking. "Registration" means the period starting when the Client pays the Service Fee and ending when the administrative formalities and various payments required for entry into the accommodation are finalized. "Check-in" means the handing over of the keys of the Accommodation to the Client by Joinimmo. "Communication" means an email or text message. "Service Provision" means any service accessory to the accommodation provided by Joinimmo to the Client. (internet, equipment maintenance...). "Content" refers to any text, graphic, image, music, software, audio, video, information or other elements that Joinimmo offers through the Site or the Services, or through its associated advertising campaigns and official social media channels, including any Content obtained under license from a third party. "Advertisement" means an advertisement concerning an accommodation offered for Booking and published by Joinimmo through the Site. "Tax" or "Taxes" means any sales tax, value added tax (VAT), goods and services tax (GST), housing tax, accommodation tax, any other similar indirect municipal, state, federal or national tax or other withholding and income or profit tax. "Service Fee" means the amount to be paid to finalize the booking of an Accommodation. The Service Fee includes, but is not limited to, numerous services incidental to the subletting of the Accommodation. The services included and the cost of the Service Fee may vary depending on the time of booking. "Lease" means the sublease governing the premises you sublet and their maintenance, wifi, electricity, water and gas supplies, furniture and equipment, delivery and maintenance and your assistance during your stay. "Booking" means the selection of an Accommodation and the payment of a Service Charge. "Rent" means the sub-rent to be paid each month for the subletting of the accommodation and for the services provided and charges. "Cancellation" means the decision by either Party to terminate the lease prior to its departure date.
When you use the Site or the Services, you agree to comply with and be bound by the provisions of these Terms and Conditions, whether or not you use the Services. These Terms govern your access to and use of the Site, the Services and the Content and constitute a legally binding agreement between you and Joinimmo. In addition, certain areas of the Site (and your access to or use of certain aspects of the Services or the Content) may be governed by other published terms and conditions, standards, guidelines or policies or may require you to accept additional terms and conditions. If there is any inconsistency between these Terms and the terms and conditions that govern a specific area of the Site, the Services, the Content or your contracts, the latter will prevail. If you do not agree to these Terms, you may not obtain information or continue to use the Site or Services. Use of the Site or Services in violation of these Terms is subject to civil and criminal penalties.
You acknowledge and accept that by accessing or using the site or by reserving an accommodation, you confirm having read, understood and agree to be bound by these terms and conditions of the service and that you are receiving our services, whether or not you have registered with the site. If you accept the terms on behalf of a company or other legal entity, you declare and guarantee that you have the right to bind such company or other legal entity to these Terms, in which case "you", "your" and "yours" shall refer to and apply to such company or other legal entity.
Joinimmo reserves the right, at its sole discretion, to modify the Site or the Services or to modify these Terms at any time and without prior notice. If Joinimmo makes any changes to the present Terms, including the Service Fee, Joinimmo will publish the modified Terms on the Site. Joinimmo will also update the "Last Updated Date" at the top of these Terms. If you have already purchased Services, the terms and conditions in effect at the time of purchase will apply. Otherwise, your continued access or use of the Site or Services will constitute acceptance of the modified Terms. The Site and the Services are intended only for persons of legal age or emancipated. Any access or use of the Site or Services by a minor is strictly prohibited. By accessing or using the Site or the Services, you represent and warrant that you are of legal age or emancipated. You agree to this and authorize us to use your personal information, such as your full name and date of birth, to provide us with these documents, including from Joinimmo suppliers.
The site can be used to permit clients to consult the accommodation advertisements, to interact with Joinimmo, to reserve accommodations and to subscribe to the sub-letting contracts. The said accommodation is the subject of the advertisements published through the site. You can consult the advertisements even if you are not registered on the site; however, if you want to reserve an accommodation and subscribe to our services, you have to identify yourself to Joinimmo. Joinimmo does not own property, does not own, sell, resell or rent property to Clients. Unless expressly stated otherwise on the Site, Joinimmo's responsibilities are limited to providing access to the Site, managing property reservations, subletting these properties to customers and providing ancillary Services.
Joinimmo provides maximum information regarding the accommodation in their advertisements, particularly on the location, the surface area, essential characteristics and equipment and availability of the Accommodation as well as its rent and the related financial rules and conditions. The elements of decoration (for example :the plants, cushions, frames, vases…) and the small equipment (for example :vessels, storage boxes, rugs….) of the accommodation present on the illustrations or photos are not necessarily provided in the accommodation,which the client accepts. On the contrary, each equipment listed on the advertisement of an accommodation is well present in this, but may be substituted by an equipment judged equivalent by Somby (for example :a blue couch may be substituted by no contractual value. The plan of each accommodation is provided on each advertisement. The surface area of the mentioned accommodation on the plan comprises the total surface area of the floor of the accommodation, including the concerned parties' private and exclusive use of the client, relating to this accommodation (for example :balcony, cupboards, dressing room, private bathroom, spaces under the sloping ceiling…). The surfaces mentioned on the plan can be rounded up or down at Someby’s discretion. For example an accommodation of 17.6m2 could be rounded off to 18m2. A tolerance of 5% difference is applicable to the total of the mentioned surfaces, which is accepted by the client. Further information can be made available on request to our team. You understand and accept that the order or ranking of the Ads in the search results may depend on many factors including, but not limited to, your preferences entered into the Site's search engine.
If you, in the capacity of a client, choose to reserve an accommodation and validate your reservation by paying the services fees, you renounce your right of withdrawal and agree that you shall enter into a Lease Agreement with Joinimmo for the subletting of the relevant Accommodation and accept the terms, conditions, rules and restrictions associated with such Accommodation and imposed by Joinimmo. You acknowledge and agree that you will be responsible for complying with the obligations set out in that agreement. You certify by making your reservation that you have verified your eligibility and are eligible to sublet this accommodation with Joinimmo, and that you are able to provide the documents mentioned in the eligibility form. You also agree to give us your full identity and the documents requested in the Booking Form within 24 hours and to pay the amount of your deposit within 72 hours, failing which Joinimmo may freely cancel your booking and be obliged to reimburse any service charges paid at the time of booking. As soon as the Booking procedure is completed, you will receive a confirmation by a communication summarizing your confirmed Booking. Joinimmo may, at its sole discretion, round up or down the amounts payable by or to the Clients to the functional base unit of its choice. For example, Joinimmo may round up the sum of 541.83€ to 542€.
When buying online, there is a 14-day period to change your mind. This is the right of withdrawal. If you exercise this right, the seller must refund the goods or services ordered. However, some purchases are not affected. According to Article 16(l) of the Consumer Rights Directive, contracts for the provision of accommodation are exempt from the right of withdrawal if the contract stipulates a specific date or period of performance. By making a Reservation for an Accommodation via the Joinimmo Site, the Client waives his/her right of withdrawal because the Accommodation is reserved from a specific date, which is the date of its availability. The reserved Accommodation is removed from the advertisements available on the Site and made available to the Client on the date of the beginning of his lease and for the duration mentioned on the lease. Furthermore, article L. 221-28 of the French Consumer Code stipulates that the right of withdrawal is not applicable to contracts for the supply of services whose performance is complete before the end of the 14-day withdrawal period and whose performance has begun after the consumer's prior express agreement and express waiver of his right of withdrawal. The execution of Joinimmo's services starts as soon as the Service Fee is paid, and some of the services provided by Joinimmo are fully executed before the end of the 14-day withdrawal period :the reserved Hosting is removed from the advertisements available on the Site; the Site is updated with the Client's information; Joinimmo's team carries out the Client's Registration (among others :invoicing; administrative follow-up; collection and validation of the file; withdrawal of the advertisements from the partner platforms; edition of the lease; informing prospects in the process of booking or requesting details of the Accommodation that it is no longer available...). The Client expressly agrees to the waiver of his/her right of withdrawal and gives his/her prior agreement to the immediate execution of the service on the Joinimmo website before finalizing his/her Reservation by paying the Service Fee.
In the event of a cancellation, Joinimmo may update the accommodation as ‘available immediately’ on their site. If, in the capacity of a client, you wish to cancel a confirmed reservation prior to your arrival into the accommodation, Joinimmo's cancellation policy shall apply to such cancellation. No refund of the Service Fee is possible. Any rent for subletting already paid to Joinimmo may be refunded within 48 working hours if the lease has not started. If the Client wishes to cancel the Reservation after the start date of the Lease, the termination clause of the Lease shall apply.
Only the taxes on house or waste is applicable to Joinimmo for the accommodation which you rent. All the other taxes such as council tax or public broadcasting tax will be applicable to the client. The charges offered by Joinimmo are not subject to VAT with some exceptions. You can ask our team before you purchase any services or reserve the accommodation to obtain the details of the applicable taxes.
As a Guest, you are obliged to return the Accommodation and its furnishings and equipment in the condition in which you found them on your arrival. You acknowledge and agree that as a traveler you are responsible for your own acts and omissions and those of any person you invite or give access to the Accommodation. In the event that Joinimmo provides evidence of damage, including but not limited to photographs, you agree to pay the cost of replacing the damaged items in accordance with the prices set out in your inventory. Each Advertisement mentions the need to pay a Security Deposit for the Accommodation concerned. Joinimmo reserves the right to refuse access to the Accommodation to the Client until the Deposit has been paid. In the event that the Client refuses to pay the Security Deposit, the reservation may be considered canceled at Joinimmo's discretion. Joinimmo may request payment from the Client of any sum due or unpaid at the end of the lease, or withhold such sum from the Client's Security Deposit, without the need for the Client's consent.
You understand and acknowledge that you are solely responsible for complying with all laws, rules and regulations, and tax obligations that may govern your use of the Site or Services. When using the Site or the Services, you may not and you agree not to :violate any applicable local, state, national or other laws or regulations, or any court order, including, without limitation, tax regulations; use any software, device, script, cancelbot, backdoor or other manual or automated means or process to access, "pull", "browse" or "scan" any web page or other services, contained on the Site; access or use our Site or Services to use, display or permit to be used or displayed, any Joinimmo :that is not publicly displayed by Joinimmo in its search results pages or listing pages before a Booking is confirmed or in any way that would otherwise violate the privacy or other rights of Joinimmo's users or any other person; use the Site or Services for any commercial or other purpose not expressly permitted by these Terms or in a manner that falsely implies Joinimmo's endorsement, partnership or otherwise misleads anyone as to your relationship with Joinimmo; weaken, tarnish or otherwise harm the "Joinimmo" or "Joinimmo" brand in any way, including through unauthorized use of the Content, registration and/or use of the terms "Joinimmo" or "Joinimmo" or derivative terms in domain names, trade names, trademarks or other source identifiers, or by registering and/or using domain names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Joinimmo's domain names, trademarks, slogans, advertising campaigns or Content; copy, store or access or otherwise use any information contained on the Site for any purpose not expressly permitted by these Terms; infringe Joinimmo's or any person's or entity's rights, including, without limitation, intellectual property, privacy, image or contractual rights; undermine or damage our Site including, without limitation, by using viruses, cancelbots, Trojan horses, malicious code, pinging attacks, denial of service attacks, spoofing, IP address or packet spoofing, falsified routing or e-mail address information or similar methods or technologies; use our Site to transmit, distribute, publish or submit any information about another person or entity, including, without limitation, photographs of third parties without their consent, personal contact information or debit or credit card, calling card or account numbers; violate these Terms; engage in disruptive, abusive, circumventing or harassing behavior in any area or aspect of our Site; post, upload, publish, submit or transmit any Content that :infringes, misappropriates or violates any patent, copyright, trademark, trade secret, moral right or other intellectual property right, right of publicity or privacy of any third party; If you use the Services as a consumer, Joinimmo is automatically responsible, on the basis of the applicable legal provisions, for the proper performance of its obligations under the General Terms, except in the event of a failure attributable either to yourself, or to the unforeseeable and insurmountable act of a third party to the contract, or to a case of force majeure.
If you are not using the Services as a consumer, you acknowledge and agree that, to the fullest extent permitted by applicable law, you assume all risks resulting from your access to and use of the Site, the Services and the Content, and your Booking of any Accommodation through the Site, whether in person or online. To the fullest extent permitted by applicable law, neither Joinimmo nor any other party involved in creating, producing or delivering the Site, Services or Content shall be liable for indirect damages, as well as loss of profit, loss of data, damage to reputation, interruption of service, computer damage or system failure, or the cost of replacing products and services, whether such damages are direct or indirect, when such damages result from or are related to the General Conditions, the use or the impossibility of using the Site, the Services or the Content, the communication, interaction or meeting with any person with whom you communicate or have contact in connection with your use of the Site, the Services, or the Booking of Accommodation through the Site, whether such damages are based on warranty, contractual liability or, to the extent permitted by law, product liability or any other legal basis. With the exception of our obligation to pay amounts due to the relevant Clients in accordance with the Terms and Conditions, Joinimmo's liability arising out of or in connection with the Terms and Conditions and your use of the Site, the Services, including but not limited to your Booking of Accommodation via the Site, or to the use or impossibility of use of the Site, the Services, the Content, concerning an Accommodation, shall in no case exceed the amounts that you have paid or for which you are liable in respect of a Reservation via the Site, and the Services as a Client during the twelve (12) months preceding the event giving rise to liability. The above limitations of liability are essential elements of the agreement between Joinimmo and you.
You agree to release, defend, indemnify and hold harmless Joinimmo, its affiliates and subsidiaries, if any, and their officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with :your access to or use of the Site, Services or Content, or your breach of these Terms; your interaction with any Customer, your Booking of an Accommodation, or the use, condition or subletting of an Accommodation, including without limitation, any injury, loss or damage (compensatory, direct, incidental, consequential or otherwise) of any kind whatsoever arising out of or in connection with any subletting, Booking or use of an Accommodation.
Unless supplemented by a document referred to or incorporated herein, one or more contracts (Lease, Survey, Inventory...), policies, guidelines, standards or additional terms and conditions of Joinimmo for a specific product, function, service or offer, the present Conditions constitute the entire agreement and offer…), policies, directives, standards or additional conditions of Joinimmo for a specific product, function, service or offer, the present Terms constitute the entire agreement and understanding between Joinimmo and you, concerning the Site, the Services, the Content and any Accommodation Reservation made through the Site; these Terms supersede any other prior agreement or understanding, whether oral or written, between Joinimmo and you with respect to the Accommodation Reservations, the Site, the Services, and the Content.
You may not assign or transfer the agreement governed by these Terms, by operation of law or otherwise, without Joinimmo's prior written consent. Any attempt by you to assign or transfer the agreement governed by these Terms, without prior consent, will be null and void. Joinimmo may assign or transfer the agreement governed by these Terms at its sole discretion and without restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties, their successors and permitted assigns.
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of France, and the application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. Your choice of law does not affect your rights as a consumer under the applicable law of your place of residence. If you are a consumer, you and we agree to submit to the non-exclusive jurisdiction of the French courts, which means that you may bring an action relating to these Terms in France or in the EU country in which you live. If you are a business person, all actions against us must be brought in a French court.
The fact that Joinimmo does not assert a right or provision of these Terms does not constitute a waiver of the right or provision at a later date. The waiver of any such right or provision shall only be effective if it is in writing and signed by a duly authorized representative of Joinimmo. Except as otherwise expressly provided herein, the exercise by either party of its remedies under these Terms shall be without prejudice to its other remedies under these Terms or otherwise.hereunder or otherwise. If for any reason an arbitrator or a court of competent jurisdiction considers any provision of these Terms to be invalid or unenforceable, that provision shall be enforced to the extent permitted by applicable law, and the remaining provisions of these Terms shall remain in full force and effect.
These Terms of Use do not confer and are not intended to confer any rights or remedies upon any person other than the Parties.
